Terms of Service

These terms govern your use of the FormParse platform — the web portal at this domain and the REST API under /v1.

Contracting party

These terms are a contract between you and Schertenleib Solutions, Tunaustrasse 20, 5734 Reinach AG, Switzerland.

The service

FormParse converts uploaded documents (PDF and image formats) into structured data according to fixed or custom schemas, and provides review, export, and API access to the results. Extraction is AI-assisted: third-party models read your documents and return structured fields with confidence scores.

Accounts and organizations

You are responsible for your credentials, for API keys issued to your organization, and for activity that occurs under them. API keys can be revoked at any time from the portal; revocation takes effect immediately.

Your content and lawful use

You are solely responsible for the documents you upload, the personal data they contain, and how you use extraction results and exports. You warrant that you have the right to upload and process all content you submit and that your use of the service complies with applicable law and third-party rights.

For personal data inside uploaded documents, your organization is the controller and determines the legal basis for processing. We act only as your processor for that content, as described under “Data processing (DPA)” below. You are responsible for classifying the sensitivity of your uploads, restricting access within your organization, and any downstream use of extracted data.

Acceptable use

Do not upload content you have no right to process, attempt to access other tenants' data, probe or overload the service beyond documented rate limits, or use the service to violate applicable law.

AI-assisted extraction

The service uses third-party AI models to extract structured data from your documents. Model outputs are probabilistic and may be incomplete, inaccurate, or inconsistent. Confidence scores are aids for review, not guarantees of correctness.

You must review and validate extraction results before relying on them for operational, financial, legal, tax, or compliance purposes. You are solely responsible for decisions and actions taken based on extracted data. We do not guarantee extraction accuracy or that results are fit for a particular purpose.

Plans, quotas, and billing

Plans are quota-based: Free (10 pages/month, portal only), Casual (200 pages/month, portal only), Pro (2,500 pages/month with API access, self-serve via Stripe), and Enterprise (custom quota, contract billing). Pages are counted at document intake; extraction attempts that fail due to platform errors do not consume quota. Paid subscriptions renew monthly or annually and can be managed or canceled through the Stripe customer portal.

Data and retention

You retain all rights to your documents and extracted data. We process them only to provide the service, as described in the Privacy Policy, and delete them automatically according to your organization's retention setting.

Data processing (DPA)

Where we process personal data contained in the documents you upload, you are the controller and we act as your processor, processing that data only on your documented instructions. This processing is governed by our Data Processing Agreement, which forms part of these terms and lists the sub-processors we use. Consumers and right of withdrawal

The service is intended for professional and business use. If you are a consumer in the EU/EEA, you may have a statutory 14-day right to withdraw from a paid subscription. Because the service provides immediate access to digital content and services, by subscribing you expressly request that performance begin during the withdrawal period and acknowledge that your right of withdrawal is lost once the service has been fully performed, and is reduced proportionally for the part already provided. Availability and changes

The service is provided without uptime guarantees unless separately agreed in an Enterprise contract. We may change or discontinue features; material changes to these terms will be announced in advance.

Liability

Unless separately agreed in writing under an Enterprise contract, we do not guarantee uninterrupted availability or fitness for a particular purpose. This includes AI-assisted extraction results, which you are responsible for verifying before use.

To the extent permitted by mandatory law, our total liability arising from or in connection with these terms or your use of the service is limited to the fees you paid to us in the twelve months before the event giving rise to the claim. We are not liable for indirect, consequential, or lost-profit damages.

Nothing in these terms limits liability that cannot be excluded under mandatory Swiss law, including liability for gross negligence, wilful misconduct, or injury to life, body, or health.

Governing law

These terms are governed by the substantive law of Switzerland, excluding its conflict-of-law rules. Exclusive place of jurisdiction is the courts of the Canton of Aargau, Switzerland.
